Biography

Olga Anikina focuses her practice on real estate and infrastructure as well as M&A. She advised Russian and foreign companies on the legal aspects of real estate, corporate and commercial law matters including greenfield investment projects, with a focus on land and other real estate regulations, including the acquisition of sites as assets and share deals.

Olga conducts legal due diligence projects (including real estate due diligence investigations) and restructuring studies, the analysis and drafting of contracts and corporate documents. She has experience in pre-sale corporate restructuring and other M&A work.

Olga has extensive experience in analyzing contract terms and participating in negotiations on complex construction contracts for major projects implemented in the Russian Federation with the involvement of international companies as contractors.

Representative Legal Matters
  • Advised one of the world’s leading wood processing companies on various business restructuring issues due to changes in the economic environment. The project work included developing various documents and action plans in the corporate sphere and adjusting them to the changing legislation, as well as giving recommendations on the client’s actions in connection with the issuance of new regulations. Various options were developed for the approval of the client’s management, and then draft documents and detailed instructions for their signing and further registration actions were prepared. The project involved uncertain working conditions and numerous changes in the legislation, which required amending of plans and coordinating work with the client’s team.
  • Advised Jotun Paints, a Russian subsidiary of a major global manufacturer of paints and powder coatings, with regard to various issues connected with its production facility in the Leningrad region, including settlement of issues related to land and infrastructure.
  • Advised a major industrial gas producer on compliance with industrial safety laws and homologation procedures undergone by the client’s products, as well as on how to structure the client’s construction project within the contemplated large industrial project, including analysing issues of technical connection to electricity grids.
  • Advised a major international construction company on the construction works within LNG project, commenting on the draft construction contracts and formulating changes.
  • Advised a major international construction company on the construction of petrochemical complex in Tobolsk (Russia): advising on the implementation of the construction contract.
  • Advised a major international construction company on a draft construction contract considered by the client for concluding with a Russian petrochemical company, the largest specialized enterprise in Europe, with respect to construction of ethylene production complex.
  • Advised Kesko Corporation in the course of sale of 12 building and home improvement store properties in Russia to Leroy Merlin Vostok LLC, a Russian division of the French Leroy Merlin (Adeo Group). The transaction price paid for the properties in cash is approximately RUB 12 billion (some €169 million). Support included ongoing advice during the transaction, review of the draft transaction documents and negotiation support.
  • Assisted GHP Group with contesting amendments to the Law of St. Petersburg on Zoning Public Green Territories in the St. Petersburg City Court to allow the developer to proceed with the construction. This was a landmark legal case which received significant media coverage in Russia (pls compare with Russian version).
  • Advised a Russian engineering and construction company on the acquisition of mortgaged assets of a third party’s debtor within public mortgage enforcement and bankruptcy procedures.
  • Advised Joy P&H Mining Equipment on the acquisition of a land plot and construction of a service center in Kemerovo Region, Russia. The advice also included legal support in the course of a land privatization auction, as well as advised on various contractual aspects with respect to design, construction and supply contracts. Advised the client on the ongoing issues in the course of construction of a service center in Kemerovo Region. The legal work included consultancy on interactions with the general designer and general contractor, according to the design and construction contracts, as well as advice on electricity grids, including a review of respective connection agreements. Furthermore advised with regard to supply contracts for Joy Global Equipment.
