Irina Soboleva specializes in international trade and commercial issues, including import-export regulation, customs legislation, export control, domestic licensing, as well as international trade restrictions, sanctions, various compliance issues, marking/labelling.

Representative Legal Matters

Advised one of the largest manufacturers of rubber and car tires on the sale of Russian production and distribution facilities, in particular, due diligence of potential buyers.
Provided an American multinational technology company with monthly sanctions updates, including: (1) unified memorandum providing a general overview of international sanctions targeting Russian persons and related developments; and (2) the lists of sanctioned Russian persons and companies, owned or controlled by such persons, which also fell under sanctions due to the so-called 50% rule.
Advised leading technology companies on import/export clearance, registration of notifications for various imported hardware, import licensing.
Advised numerous major multinational companies on customs law, including tariff and non-tariff regulations, determination and confirmation of customs value, classification of goods, export controls.
Advised numerous major multinational companies on the application of foreign trade sanctions (risk analysis for international companies in conclusion and performance of deals) and access limitations to the Russian market.

Advised numerous major multinational companies on a range of issues relating to the export control regulations of Russia, the US, the EU and other jurisdictions.
Advised corporate clients on various aspects of Russian currency regulation, including regulation adopted as part of special economic measures.
Advised corporate clients on structuring contractual payments in light of special economic measures.
Advised numerous major multinational companies in connection with dividend distribution to foreign shareholders in light of special economic measures. The advice included the preparation and filing of documents with state authorities, and subsequent interaction with state authorities to obtain permission for dividend distribution.
Advised on loan structuring and set-off transactions for a number of major multinational companies with regard to foreign sanctions compliance risks, Russian special economic measures and currency control restrictions.
