Representative Legal Matters
  • Represented Lenta, one of the largest multi-format retail chains in Russia, in the acquisition of the Semya supermarket chain in the Perm region.
  • Advised a large investment bank on the acquisition of 100% of shares in an accredited certification center providing a range of services in the field of legally significant electronic document management, electronic reporting and accounting automation.
  • Represented one of the largest Russian banks in a transaction involving an acquisition of a 44.8% stake in the charter capital of a target company, being member of the Russian state-owned telecom conglomerate, integrating assets in data processing centres ("DPCs") and cloud services.
  • Advised a multinational food processing and commodities trading corporation on the set up of its joint venture with a Russian partner involved in the processing, manufacture and sale of starch sweeteners and its derivatives.
  • Advised an international manufacturer of wall building materials with respect to the divestiture of its manufacturing business in Russia.
  • Advised a multinational conglomerate specializing in luxury goods on Russian legal aspects relating to its acquisition through an auction process of a listed global company operating luxury hotels and several other businesses in the luxury segment of travel industry, including due diligence review of the Russian-based assets and advice on specifics of the Russian regulatory framework applicable to the target's operations in Russia.
  • Advised a shareholder of Novaport, a Russian group of companies specializing on operation and management of airports in different regions of Russia, with respect to two transactions on acquisition of controlling stakes in an international airport "Khrabrovo" (city of Kaliningrad) and international airport "Mineralnye Vody" (city of Mineralnye Vody).
  • Advised an international production company of scripted and non-scripted television with respect to re-negotiation of the terms of its Russian joint venture with its Russian partner, including re-signing of the JV on new terms and introduction of a new partner into the JV.
  • Advised a major Russian investment company in connection with the acquisition of approx. 40% of shares in a Russian IT company specializing on online and offline educational courses and relevant services, and establishment of a joint venture with the IT-company’s initial founders.
  • Advised a major Russian investment company in connection with the acquisition of 100% of shares in a Russian company being the owner of the land plot in the Moscow region.
