Melling, Voitishkin & Partners represented Renaissance Insurance Group, one of the leading digital players in the Russian insurance market, in the acquisition of the insurance company Raiffeisen Life from Austrian insurance group Uniqa Group and Raiffeisenbank JSC. Raiffeisen Life is a major player in the Russian life and health insurance market with a portfolio of long-term savings, investment, risk and credit insurance products. According to media reports, the investment portfolio of Raiffeisen Life at the beginning of 2024 was approximately 20 billion rubles.
We assisted with all stages of the transaction, including preparation and negotiation of binding documentation, negotiation and development of the final transaction structure, obtaining regulatory approvals, monitoring the fulfilment of conditions precedent, and the closing of the transaction. In an environment of special regulations, the transaction required original thinking in its structuring, and our unique approach helped ensure the successful approval of the transaction by various state authorities.
