Melling, Voitishkin & Partners represented Yum! Brands Inc. with respect to the restructuring of its commercial presence in Russia by selling to one of the Russian franchisees - Smart Service - a 100% stake in the Russian subsidiary holding the master franchise rights for KFC restaurants in Russia.

The deal includes all KFC restaurants in Russia, the operational system, master franchise rights and the Rostic's trademarks. The work on the transaction included complex deal structuring advice, including in terms of corporate, IP and franchise issues, preparation and support of the sale process, drafting and negotiations on key transaction documents, advice on issues relating to the obtaining of various state approvals required for the transaction.
