Margarita Divina specializes in intellectual property and has more than twenty years of hands-on experience in providing integrated support for major most comprehensive cross-border and local IP heavy transactions including advice on IP portfolio structuring, ownership and disposal of IP and revealing and mitigating risks in connection with IP deals.

Margarita is one of a few recognized and long-standing leaders in providing legal services to franchise businesses. She assisted many international franchise systems to successfully enter into and develop the markets in Russia and CIS.

Margarita is registered with the Russian Patent and Trademark Office as a trademark attorney.

  • Advised Kaspersky in a transaction to acquire Brain4Net, a company that develops solutions and services to help enterprises and service providers adapt modern technologies, such as Software-Defined Wide-Area Network (SD-WAN) and Network Functions Virtualization (NFV), with existing network infrastructure.
  • Assisted Under Armour in connection with franchise agreements with Russian partners supporting online and retail sales of its products in Russia.
  • Advised Inter IKEA Systems B.V. on all issues related to retail store operations as well as launching the client’s first e-commerce store in Russia.
  • Advised NovaWind, the division of State Atomic Energy Corporation Rosatom responsible for Russia’s renewable energy program, on various agreements for licensing wind turbine manufacturing technology from Lagerwey.

  • Assisted a global consumer goods company in a major restructuring of its trademark and other IP portfolio and in substantially amending its trademark and patent licensing arrangements within the group and with the Russian subsidiary.
  • Advised many multinational restaurant, hotel, retail and services companies on developing franchise businesses in Russia and CIS as well as on structuring their IP portfolios.
  • Represented a major Russian oil company in a major transaction pertaining to technology, patent and other IP licensing.
  • Represented a multinational IT company in the preparation and conclusion of the acquisition of software developed by Russian engineers hired by a company located in the US.
  • Advised major multinational companies on intellectual property issues of share purchase agreements with regard to publishing, confectionery, pharmaceutical and software companies.
