Denis Ezhov specializes in international commercial and trade problematic, as well related IT and intellectual property issues.

Denis mainly focuses on national and cross-border commercial transactions and the related regulatory framework. As such he drafts and negotiates a full range of commercial contracts, including distributorship and agency contracts, franchising, manufacturing, marketing, licensing, supply and joint development agreements.

Denis’s multi-practice exposure allows him to coordinate multiple assignments within teams working in various jurisdictions.

4 years+ secondment experience with IT, retail and manufacturing businesses helps to better understand the client’s needs and challenges and effectively cooperate with business project teams.

Representative Legal Matters
  • Supported Orbital (Northrop Grumman) in negotiating and executing an agreement for the purchase and servicing of 20 rocket engines with a Russian manufacturer; advised on the related export control and regulatory requirements.
  • Advised an international car producer on structuring its manufacturing and distribution in Russia; drafted and negotiated agreements with local and international partners.
  • Assisted an international fragrance and cosmetics manufacturer with buying out a retail business from a Russian partner, restructuring of local operations and winding down of non-core retail business. Advised on various regulatory and product compliance issues.
  • Supported an international IT manufacturer and developer with winding down of its Russian operations and settlement with partners and key creditors.
  • Advised an international producer on the establishing and updating its cash pooling structures in Russia and coordinated similar projects in other CIS countries.
  • Supported one of the largest manufacturing groups in Russia in bidding for engineering & procurement projects, negotiated contracts with state-owned organizations (bidders and main contractors).
  • Advised a major multinational media company on establishment, maintenance and update of their Internet media platform, user content exchange, viral games, use of in-game currency, IP protection and content auditing system.
  • Assisted an international media producer on running promotion campaigns in Russia, including various personal data, consumer protection and advertising regulations.
  • Advised an international consulting company on building an Internet advisory platform and implementation of the platform’s tools, including background checks, IP clearances, personal data protection and intermediary’s liability.
  • Advised an international apparel company on setting up a license and distribution chain in the CIS, Turkey and Baltic region; negotiation support, coordination with lawyers in other countries; dealing with various IP enforcement and preventive measures in the target markets.
