Biography
Diana Chukturova focuses her practice on corporate law, especially on M&A transactions. She also advises clients on Russian and international commercial law, including legal analysis and drafting of commercial contracts for Russian and foreign companies. Diana has experience in advising international holding companies and private clients on currency, sanctions and regulatory compliance issues.
Representative Legal Matters
M&A, Joint Ventures and General Corporate
  • Advised the Russian and global Ford team on a wide range of transactional and regulatory issues, including corporate law.
  • Conducted a legal due diligence (corporate risks section) of a Russian subsidiary of a major global manufacturer of hygiene and health products in connection with its sale to a Russian company.
  • Conducted a legal due diligence (key lease agreements section) of a Russian subsidiary of a global fast food restaurant chain in connection with its sale to a Russian company.
  • Prepared a legal opinion for a major Russian company in the field of export logistics and the grain trade on the implementation of the "two-key" principle (joint management of the company by several managing directors).
Trade & Commerce
  • Advised a major foreign automotive manufacturer in the process of closing down manufacturing in Russia. The work included legal analysis of claims from Russian and foreign suppliers, preparation of responses to claims, and their settlement.
  • Advised (on a regular basis) a major foreign producer of motor oil and lubricants on structuring its contractual relations with counterparties in Russia. The work included legal analysis of key contracts.
  • Prepared a legal opinion for a major foreign holding company on options for transferring assets from Russia to foreign subsidiaries, especially in terms of current currency restrictions.
  • Prepared a legal opinion for the Russian subsidiary of a Dutch company specializing in heavy lifting operations on the options for repaying cross-border loans in the event they became impossible to perform due to restrictive measures.
Wealth Management
  • Advised high-net-worth spouses (Russian individuals) on asset structuring in Russia and foreign jurisdictions (including shares in Russian and foreign companies, as well as real estate in Russia and abroad). The work included drafting a marriage contract.
Finance/Capital Markets
  • Advised a bank owned by a major Russian payment service operator on the implementation of a LTIP (long-term incentive plan for employees). The work included drafting corporate, contractual and employment documentation.
