Representative Legal Matters
M&A/Corporate
  • Advised one of the China’s largest car manufacturers on setting up production and assembly of cars in Russia, as well as setting up joint ventures with Russian car manufacturers.
  • Represented the interests of an international company — a world leader in the production of food and household products — in the sale of a production plant in Russia to a Russian buyer.
  • Advised a major manufacturer of high-tech equipment and chemical components for the oil and gas industry on the sale of its Russian business to a group of Kazakh buyers.
  • Advised a Russia-based vertically integrated steel and mining company on acquisition of a 20% stake in a major pipe enterprise located in the south of Russia.
  • Advised Thai Union Group, a global seafood leader, on setting up a joint venture with a Russian partner (DPR Group) on the basis of the DPR Group’s existing fish and seafood business.
  • Advised a shareholder of Novaport, a Russian group of companies specializing on operation and management of airports in different regions of Russia, with respect to two transactions on acquisition of controlling stakes in an international airport «Khrabrovo» (city of Kaliningrad) and international airport «Mineralnye Vody» (city of Mineralnye Vody), including due diligence of the targets, advising on the transaction structure, drafting of key transaction documents and advising on setting up a joint venture arrangements with minority shareholders of the airports.
  • Advised shareholders of a leading Russian manufacturer of kitchen range hoods in connection with the sale of the majority stake to the world’s leading provider of products and solutions for residential kitchens and bathrooms.
Antitrust & Competition
  • Ongoing assistance to a major multinational automotive manufacturer regarding the development and implementation of internal antitrust compliance policies and procedures covering all aspects of the client’s business in Russia and the Eurasian Economic Union, such as retaining and terminating dealers, establishing non-discriminatory commercial terms (supplies, payments, discounts, etc.), developing promotional campaigns, organizing the distribution of spare parts to authorized dealers and independent service stations, etc.
  • Advised an international food and beverage company on competition law issues, including analysis of distribution agreements with respect to a number of issues such as territorial exclusivity, bonus systems, category management, and recommended prices.
  • Advised a number of clients on obtaining regulatory approvals and permits in connection with M&A transactions and the restructuring of a group of companies.
