Advised Walgreens Boots Alliance, the first global pharmacy-led, health and wellbeing enterprise, in connection with the sale of its Russian pharmaceutical wholesale business, Alliance Healthcare Russia, to leading Russian health and beauty retailer 36.6. Following completion, Walgreens Boots Alliance owned a 15% stake in the 36.6 group.
Advised Smith & Nephew on its acquisition of the trauma and orthopedics distribution business of DeOst LLC and DC LLC, a manufacturing company in the DeOst group.
Advised Acino on its acquisition of a Russian pharmaceutical company engaged in marketing, sales and distribution of pharmaceuticals in the gynecology sector and for antithrombotic treatment.
Acted as a legal counsel to Condé Nast, one of the world’s leading publishing houses, on the restructuring of its mass media business in Russia. The deal involved an unprecedentedly complex analysis, both by nature and volume, sophisticated corporate and regulatory planning and structuring work.
Advised ArcelorMittal, the world’s leading steel and mining company, on the sale of its entire interest in the Kuzbass coal mines in the Kemerovo Oblast, Russia, to Russia’s National Fuel Company.
Advised Egmont, a media group producing high-quality content and digital innovation, in connection with the sale of its Russian company including all Russian publishing rights to the existing management in Russia.
Advised a shareholder of Novaport, a Russian group of companies specializing on operation and management of airports in different regions of Russia, with respect to two transactions on acquisition of controlling stakes in an international airport "Khrabrovo" (city of Kaliningrad) and international airport "Mineralnye Vody" (city of Mineralnye Vody).
