Biography

Timofey Lukashevich focuses his practice on M&A transactions, joint ventures, and legal issues in the environmental and energy sectors. He also advises on corporate and commercial law, as well as on regulatory frameworks and incentives for investment projects.

Timofey is a driving force of Melling, Voitishkin & Partners’ sustainability and ESG practice: climate and environmental laws, regulatory and transactional matters regarding renewables, certificates of origin of energy sources including hydrogen, waste management and electric vehicles.

Representative Legal Matters
M&A, Joint Ventures and General Corporate
  • Assisted in advising Ford’s Russian team on a wide range of transactional and regulatory issues, including corporate and general commercial law.
  • Assisted in advising Ford’s global team on multiple transactional and regulatory matters in connection to Ford’s withdrawal from its joint-venture with Sollers (JV), major Russian auto-maker.
  • Assisted in advising E.Company (former Electrolux Rus), producer and distributor of household appliances under newly launched brand VÄRD, in connection to post-MBO operations and new business model implementation.
  • Assisted in advising Kelly Services on the sale of its Russian business to Ventra LLC, a leading business process outsourcer at the Russian market. The project activities included transaction structuring, drafting transaction documents under the Russian law.
  • Assisted in advising Jotun A/S, the Norwegian company, on the sale of its Russian business to "Atomstroykompleks-industry" LLC. The project included drafting transaction documents, assisting in obtaining FAS approval and resolving numerous ongoing issues related to the transaction.
  • Assisted in advising Semrush during the sale of its Russian subsidiaries.
  • Assisted in advising Nokian Tyres plc on the sale of its Russian operations to Tatneft PJSC. After the approval of the Russian Governmental Commission, Nokian Tyres received a payment of EUR 285 million from PJSC Tatneft on 16 March 2023.
Sustainability & ESG
  • Assisted in advising a major Russian power producer on (i) issuing international renewable certificates (I-RECs) and voluntary carbon offsets in Russia and (ii) implementing a corporate power purchase agreement and related matters.
  • Assisted in advising "Goal Number Seven", the Association of Energy Markets Participants on a pro bono basis on various matters arising in the course of launching the system. In particular: (i) advised on adapting the I-RECs global template registration and issuance agreement in line with Russian law; (ii) advised in discussions with power producers on numerous legal and tax issues of the I- RECs, mindful of the voluntary nature of this tool and the lack of directly applicable national regulation; (iii) advised on a request to the state authorities for clarifications regarding the possible tax treatment of I-RECs; (iv) provided miscellaneous legal and practical guidance in the course of the project.
Compliance & Investigations
  • Assisted in advising international online gambling and betting companies in relation to the regulation of online gaming, betting and lotteries in Russia and the risks associated with servicing (software and support services, and various payment, marketing, banking and financial services) Russian and foreign online gaming operators targeting a Russian audience.
