Debt Capital Markets
Advised a syndicate of banks, including J.P. Morgan, Citi, Société Générale, ING and UniCredit, in connection with the issuance (pursuant to Rule 144A and Regulation S) of USD 300 million 7.6% perpetual subordinated callable loan participation notes by a major Russian bank and inclusion of the funds into Basel III tier 1 capital. The notes are listed on the Global Exchange Market of Euronext Dublin.
Advised an issuer in connection with a dual-tranche euro-denominated Regulation S only senior unsecured bonds. The deal consisted of new 15-year benchmark EUR 1 billion 2.65% bonds due 2036, and a EUR 500 million tap offer of 1.125% bonds due 2027 consolidated with and forming a single series with the previously issued EUR 750 million 1.125% bonds due 2027.
Advised one of the largest producers and exporters of metallurgical coke in Russia in connection with the issuance of new USD 350 million 5.90 per cent Notes due 2025 under Rule 144A / Reg S.
Equity Capital Markets
Advised Citibank as a depositary in connection with depositary receipts programmes of the biggest Russian issuers.
Securitisation
Advised a major Russian fintech bank in connection with a debut securitisation of its home equity loans portfolio.
Advised Russian banks in connection with the first domestic multi-originator mortgage securitisation transaction, where the senior tranche bonds were rated AAA (ru.sf) by ACRA (JSC), a domestic credit rating agency.
Advised Russian banks in connection with the fourth and fifth rounds of fund raising via the issuance of bonds secured by the SME loans portfolio through the multi-originator off-balance SME loans securitisation platform.
Loans and Credit Facilities
Advised a major Russian bank in connection with an amendment of a term loan facility agreement. The deal had an extensive security package comprising pledges of railcars, participatory interest in the charter capital of limited liability companies and bank accounts, Russian law suretyships, pledges of shares and floating charges under Cyprus law and English law corporate guarantees.
