  • Represented VOS’HOD, a developer of premium real estate, on the sale of the historic Central Telegraph building (total area: 68,424 sq. m.) on Tverskaya Street in Moscow to the T-Bank group.
  • Advised the Azbuka Vkusa group on a range of corporate and regulatory matters, including the provisions of Law No. 470-FZ «On Economically Significant Organizations,» in connection with the redomiciliation of the group’s parent company from an «unfriendly» country (Cyprus) to Russia.
  • Advised an international pharmaceutical group on all aspects of the transaction and obtaining regulatory approvals for the sale of a manufacturing plant and a portfolio of medicinal products to a group of Russian investors.
  • Provided comprehensive legal support to the Russian investment company Brio Capital on its acquisition of a controlling stake (80%) in A3 Payment Service, a Russian fintech company specializing in electronic payment acceptance and processing services.
  • Represented the owners of LifeStream (a Russian developer of high-tech video solutions and the creator of the «Smotryoshka» OTT service) on the sale of the company to a subsidiary of PJSC Rostelecom, the owner of the WINK online video service.
  • Advised Rusagro group of companies on a transaction for the acquisition of 50% of the shares of SC Nizhegorodsky Oil and Fat Plant (which produces products under the Ryaba, Astoria, and Khozyaiyushka brands) from its Russian shareholders.
  • Advised Kaspersky in a transaction to acquire Brain4Net, a company that develops solutions and services to help enterprises and service providers adapt modern technologies, such as Software-Defined Wide-Area Network (SD-WAN) and Network Functions Virtualization (NFV), with existing network infrastructure.
  • Advised a large investment bank on the acquisition of 100% of shares in an accredited certification center providing a range of services in the field of legally significant electronic document management, electronic reporting and accounting automation.
  • Represented a large private bank in the context of the acquisition of new shares in one of the Russian stock exchanges, as well as the acquisition of an option to acquire additional shares in this stock exchange from the third party.
